Joius’Banking and Finance department provides legal services to more than thirty domestic and international banks and financial institutions from Hong Kong, Taiwan, US, Japan, Singapore, Thailand, Hong Kong SAR, Taiwan. We also provide legal service to Jing’an District Financial Regulatory and other regulatory authorities.
Banking and Finance Department specializes in traditional banking and finance, financial leasing and factoring, cross-border finance, online finance, syndicated loans, project finance, acquisition finance, setting up bank branches and subsidiaries, asset-based securities and bond issuance etc, providing clients with one-stop financial solutions and assisting with the introduction of low-cost overseas capital, especially for overseas and cross-border financing projects. This department has also cooperated with Joius litigation group on multiple overseas debt collection related to cases via litigation and/or arbitration, and has been assisting the Capital Market Department on IPOs of a financial institution. The Insurance legal team has provided litigation and non-litigation services to domestic and foreign insurance companies, and also provides insurance fund management service to domestic insurance asset management companies.

The Capital Markets Department of Joius specializes in legal services related to domestic and overseas listing; M&A for public-listed corporations; investment M&A, asset-based securitization and private equity funds for unlisted companies and registration and filing for private-equity registration, etc. Director of the Department, Daniel Ding is the chairman of the Tenth Securities Research Council of Shanghai Bar Association and the executive editor for the book “The Lawyer’s Practice in Securities”. Concerning listing services, Joius lawyers have participated in many projects including IPOs of foreign-invested enterprises, IPOs of domestic banks, overseas listing/delisting cases, dismissal of overseas red chip structures, and equity incentive scheme design. Joius is currently serving as coordinator and legal counsel for a large number of domestic and foreign clients for IPOs, BSE, NEEQ listings. Regarding M&A and restructuring cases, our clients come from industries including, but are not limited to, chip design, high-end manufacturing, medical and healthcare, education and training, food, clothing, media, etc. In terms of asset-based securitization business, our services include designing asset-based securitization project schemes, assisting in determining basic assets and building asset pool, drafting and reviewing relevant transaction documents, and issuing legal opinions.
